1. Acceptance of Terms

By accessing or using GradeGuard ("the Service"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

2. Description of Service

GradeGuard is an AI-assisted review management service. We monitor your business's online reviews, draft professional response suggestions using artificial intelligence, and facilitate your approval and posting of those responses.

3. AI-Generated Content Disclosure

Review responses are drafted using artificial intelligence (AI) technology. While we strive for high-quality, professional responses:

• All AI-drafted responses are presented for your review and approval before posting.
• You are responsible for reviewing and approving all responses before they are published.
• You acknowledge that AI-generated content may occasionally contain errors or inappropriate suggestions.
• By approving a response, you take responsibility for its content as the business owner.

4. Your Responsibilities

• You must have authorization to manage the business listing(s) you connect to GradeGuard.
• You are responsible for reviewing all drafted responses before approval.
• You must not use the Service to post false, misleading, or defamatory content.
• You are responsible for compliance with the review platform's terms of service (e.g., Google Business Profile).

5. Billing and Payments

Paid plans are billed monthly. You may cancel at any time. Cancellation takes effect at the end of the current billing period. Refunds are not provided for partial months.

6. Data Handling

We collect and process business review data as described in our Privacy Policy. Review data is processed by third-party AI providers (Anthropic) to generate response drafts. We do not sell your data.

7. Limitation of Liability

GradeGuard is provided "as is." We are not liable for:

• Errors in AI-generated response drafts (which is why human approval is required).
• Consequences of responses you approve and post to review platforms.
• Changes to review platform APIs or terms of service that affect the Service.
• Loss of business, revenue, or reputation arising from use of the Service.

Our total liability shall not exceed the amount you paid for the Service in the preceding 12 months.

8. Termination

Either party may terminate this agreement at any time. Upon termination, your data will be retained for 30 days and then permanently deleted unless you request earlier deletion.

9. Changes to Terms

We may update these terms from time to time. We will notify active subscribers of material changes via email. Continued use of the Service after changes constitutes acceptance.

10. Governing Law

These terms are governed by the laws of the State of Wisconsin, United States.
